Optimus01 SEO / Terms and Conditions of Sale
Terms and Conditions of Sale

Website Terms and Conditions:

  1. Hosting - Optimus01 does not offer Hosting Facilities though we will set up your hosting at your elected Hosting Company (we recommend Hetzner)
  2. All Websites are Designed and Developed according to SEO Requirements and following Webmaster Guidelines
  3. Loading of Website Content is NOT included as the website has a CMS and we will teach the client how to load their own content
  4. Should the Client require that we load their content and images a separate quotation will be provided at the time based on requirements
  5. If you estimate that your website will have in excess of 100 products we advise an Online Catalogue at R6000 - content will be needed in excel format
  6. Should the client require items during the testing phase which were not part of the initial brief these will be further quoted on and treated as a separate project.
  7. Once the website is live the project is deemed to be “signed off” and further changes/corrections/additions will be treated as a separate project and quoted on
  8. Optimus01 does not own the client’s domain name however the website is owned by Opitmus01 until full payment has been received
  9. Once the website design has been approved the development stage will commence - from this point any further changes will be charged out a rate of R412.50 / hour
  10. Should you require more than 3 sets of design changes this will be charged out a rate of R412.50 / hour and will be added to the final  invoice
  11. The Client agrees to place "Website by Optimus01” in the footer of their website
  12. This Agreement contains all of the express provisions agreed upon by the parties with regard to the subject matter thereof and the parties waive the right to rely on any alleged express provisions not contained herein.
  13. Should the client proceed with Optimus01 for a website then it will be deemed that the client agrees to be bound by all of the above mentioned terms and conditions and a legally binding contract between Optimus01 and the Client shall be formed.

 

Website Maintenance Terms and Conditions:

  1. Should the client not utilize their full hours these are forfeited and are not carried over to the following month
  2. Website Maintenance packages run indefinitely with a 1 month notice cancellation period
  3. All website maintenance packages are billed monthly in advance and are purchasable via monthly debit order only
  4. All Website Maintenance debit orders run on the 15th of every month.
  5. Website Maintenance does not include additional items such as, new design items, new development items, new modules, applications or components needed
    1. These will be quoted for and only upon receipt of proof of payment will we traffic the requirement
  6. This Agreement contains all of the express provisions agreed upon by the parties with regard to the subject matter thereof and the parties waive the right to rely on any alleged express provisions not contained herein.
  7. Should the client proceed with Optimus01 for Website Maintenance then it will be deemed that the client agrees to be bound by all of the above mentioned terms and conditions and a legally binding contract between Optimus01 and the Client shall be formed.

 

SEO Terms and Conditions

  1. Optimus01 (Pty) Ltd undertakes to optimize the Client’s website to the best of its ability in accordance with general optimization criteria as is stipulated by the industry from time to time.
  2. The Client undertakes to supply Optimus01 (Pty) Ltd with administrator access rights to the Client’s website in order to optimize the website using various Search Engine Optimization tools and techniques.
  3. The Client hereby agrees to place the Optimus01 website URL links at the bottom of their website’s home page for SEO purposes for the duration of the contract. Stating “SEO by Optimus01 (hyperlinked)”
  4. SEO Contract periods are either for a full 8 month period or a full 12 month period
  5. The Client hereby agrees to pay Optimus01 all fees in terms of services rendered upon presentation of the invoice, without set off or deduction
  6. SEO services are billed monthly in advance and the client may elect that payment is made either via debit order or via EFT
    1. Debit Orders are run on the 15th or 25th of each month
    2. EFT payments are due no later than the 20th of each month
  7. Non-payment of the fee will entitle Optimus01 (Pty) Ltd to immediately terminate the SEO service, until such time as all amounts due to Optimus01 (Pty) Ltd have been paid in full.
  8. Interest will be charged on overdue accounts at ABSA Bank’s prime lending rate.
  9. Any costs, including attorney and own Client costs, incurred by either party arising out of a breach by the other party of any of the provisions of this Agreement shall be borne by the party in breach.
  10. The Agreement between Optimus01 (Pty) Ltd and the Client shall endure for the initial period stipulated in the SEO Booking Form.
  11. This contract does not go into automatic renewal upon termination of the initial contract.
  12. Optimus01 (Pty) Ltd will only administer services once Optimus01 (Pty) Ltd has received the 1st Month Payment stipulated in the SEO Booking Form.
  13. Notwithstanding the aforegoing:
    1. The Client may terminate the Agreement on 7 (seven) days written notice, without any penalty, if Optimus01 (Pty) Ltd makes a material amendment to these standard terms and conditions that is to the detriment of the Client.
    2. It is recorded that increases in the fees of an amount of less than 15% (fifteen percent) per annum shall not be deemed to be to the detriment of the Client.
      1. i.    However increases will never occur during the duration of a contract period i.e. during the 8 or 12 month period of an SEO contract.
  14. Should the Client terminate the agreement prior to the termination date, due to any reason, other than Optimus01 (Pty) Ltd being in breach, then the remaining contract value becomes immediately due and payable.
  15. Optimus01 (Pty) Ltd may terminate the Agreement at any time without further notice if:
    1. The Client has failed to pay the outstanding amount within a period of 7 (seven) days of a written notice to do so.
  16. In the event that the Client is a Corporate Body, Company, Close Corporation or Trust giving the go ahead to proceed, telephonically, in person and/or via facsimile hereby warrants and represents that he has been duly authorised to act on behalf of the Client and to contract with Optimus01 (Pty) Ltd on behalf of the Client.
  17. The Client holds Optimus01 (Pty) Ltd harmless against any claim and any damages suffered by the Client arising from or in connection with the SEO service given by Optimus01 (Pty) Ltd.
  18. The Client shall not have any claim against Optimus01 (Pty) Ltd for any losses, damages, costs or expenses resulting from the provision or failure to provide SEO services, whether such failure results from: 
    1. Technical failure (including but not limited to errors, malfunctions, interruptions or delays in the provision of SEO services).
    2. Force majeure.
  19. Neither Optimus01 (Pty) Ltd nor its employees or agents shall under any circumstances, including negligence of any degree on their part and including a breach by Optimus01 (Pty) Ltd of its obligations in terms of this Agreement, be liable to the Client or any other person for any indirect or consequential loss, including but not limited to loss of profits.
  20. The aggregate liability of Optimus01 (Pty) Ltd under this Agreement or any other Agreement between the parties shall not exceed R20 000.00
  21. This Agreement contains all of the express provisions agreed upon by the parties with regard to the subject matter thereof and the parties waive the right to rely on any alleged express provisions not contained herein.
  22. No Client may cede any of its rights or delegate or assign any of its obligations in terms of this Agreement without the prior written consent of Optimus01 (Pty) Ltd which will not be unreasonably withheld.
  23. Should the client proceed with Optimus01 for SEO then it will be deemed that the client agrees to be bound by all of the above mentioned terms and conditions and a legally binding contract between Optimus01 and the Client shall be formed.

Social Networking Terms and Conditions

  1. Optimus01 (Pty) Ltd undertakes to manage the Client’s social networking portfolio.
  2. The Client undertakes to supply Optimus01 (Pty) Ltd with administrator access rights to the Client’s website in order to manage and integrate the website and the social networking platforms together using various industry standard tools and techniques.
  3. The Client hereby agrees to place the Optimus01 website URL links at the bottom of their website’s home page for social networking purposes for the duration of the contract. Stating “Social Networking by Optimus01 (hyperlinked)
  4. Social Networking Contract periods are either for a full 8 month period or a full 12 month period
  5. The Client hereby agrees to pay Optimus01 all fees in terms of services rendered upon presentation of the invoice, without set off or deduction
  6. Social Networking services are billed monthly in advance and the client may elect that payment is made either via debit order or via EFT
